By accessing the DataForge Systems website (dataforgesystems.io), purchasing, downloading, installing, or using the Software Asset Intelligence Platform ("SAIP"), or subscribing to any DataForge Systems service, you agree to be bound by these Terms of Service. If you do not agree, do not use our products or services.
These terms constitute a legally binding agreement between you ("Customer," "you") and DataForge Systems LLC, an Alabama limited liability company ("DataForge," "we," "us").
SAIP is a desktop software application that helps organizations manage, audit, and analyze their software assets. SAIP is available as:
SAIP processes all data locally on your machine. DataForge Systems does not receive, access, or store your software inventory data. See our Privacy Policy for details.
Subject to your compliance with these Terms and payment of applicable fees, DataForge grants you a limited, non-exclusive, non-transferable, revocable license to install and use SAIP in accordance with your purchased plan.

SAIP, including all code, design, documentation, knowledge base content (KB), and associated materials, is the exclusive property of DataForge Systems LLC and is protected by copyright, trade secret, and other intellectual property laws.
The SAIP knowledge base and all data therein are proprietary assets of DataForge Systems. You may not extract, reproduce, or redistribute KB content outside of normal SAIP usage.
Nothing in these Terms transfers any ownership of intellectual property to you. Your license is limited to the rights expressly granted in Section 3.
The SAIP base product is available as a one-time purchase through our authorized sales channels (including Gumroad). Payment is due at the time of purchase. All prices are in US dollars unless otherwise stated.
Subscription plans are billed on a recurring basis (monthly or annually, depending on the plan selected). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
DataForge reserves the right to change subscription pricing with at least 30 days' notice. Price changes will take effect at your next renewal period.
We offer a 30-day money-back guarantee on the SAIP base product. If you are not satisfied, contact us within 30 days of purchase for a full refund.
Subscription cancellations are eligible for a pro-rata refund of the unused portion of the current billing period. Refunds are calculated from the date of the cancellation request to the end of the paid period.

SAIP is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. DataForge Systems disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
DataForge does not warrant that SAIP will be error-free, uninterrupted, or that it will meet your specific requirements. You use SAIP at your own risk.
The SAIP knowledge base is provided for informational purposes. While we strive for accuracy, DataForge does not guarantee that KB content is complete, current, or error-free.
To the maximum extent permitted by applicable law, DataForge Systems LLC, its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of SAIP.
In no event shall DataForge's total aggregate liability exceed the amount you paid to DataForge in the twelve (12) months preceding the claim.
Key point: SAIP processes all data locally on your machine. DataForge Systems never receives, stores, or has access to your software inventory data.
Your use of SAIP is also governed by our Privacy Policy, which describes what limited information we do collect (such as email addresses for purchases) and how we handle it.
You are solely responsible for the security and backup of data on your own systems.
DataForge may suspend or terminate your access to SAIP or subscription services if you breach these Terms. Upon termination:
You may terminate your use at any time by uninstalling SAIP and canceling any active subscriptions.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of SAIP after changes are posted constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the State of Alabama, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Alabama.
