End User License Agreement

Important: By installing, copying, or using SAIP, you agree to the terms of this End User License Agreement. If you do not agree, do not install or use the software.

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you") and DataForge Systems LLC, an Alabama limited liability company ("DataForge," "Licensor"), for the use of the Software Asset Intelligence Platform ("SAIP") desktop application.

1. Grant of License

Subject to the terms of this EULA and payment of applicable license fees, DataForge grants you a limited, non-exclusive, non-transferable license to:

Install one (1) copy of SAIP on a single computer or device that you own or control.
Use SAIP for your personal or internal business purposes.

This license is granted to a single user. Each individual who uses SAIP must have their own valid license. If you need multiple installations or users, contact legal@dataforgesystems.io for volume licensing.

This EULA governs the SAIP desktop application. Additional features available through subscription plans are subject to our Terms of Service.

2. Restrictions

You agree that you will not:

Reverse engineer, decompile, or disassemble SAIP or any part of it, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
Redistribute, sell, rent, lease, sublicense, or lend SAIP or make it available to any third party.
Modify, adapt, translate, or create derivative works based on SAIP.
Remove or alter any proprietary notices, labels, trademarks, or branding on or within SAIP.
Use SAIP to build a competing product or service, or to benchmark SAIP against competing products without written consent.
Circumvent any technical limitations, license verification, or access controls built into SAIP.
Share license keys or credentials with anyone not authorized under your license.

3. Intellectual Property

SAIP, including all software code, user interface design, documentation, knowledge base content, and associated materials, is and remains the exclusive property of DataForge Systems LLC.

This EULA does not grant you any ownership interest in SAIP. You receive only the limited license rights described in Section 1. All rights not expressly granted are reserved by DataForge.

The SAIP knowledge base (KB) is a proprietary asset of DataForge Systems. KB content may not be extracted, exported, reproduced, or redistributed outside of normal use within the SAIP application.

4. Updates and New Versions

DataForge may, at its discretion, release updates, patches, or new versions of SAIP. Updates may be provided automatically or made available for download.

Base product updates: Bug fixes and minor updates for the version you purchased may be provided at no additional cost.
Major new versions: Significant new releases may require a separate purchase or an active subscription plan.
Subscription features: Access to subscription-tier features and premium KB updates requires an active subscription. If your subscription expires, these features will become unavailable, but your base product license remains valid.

DataForge is under no obligation to provide updates, support, or maintenance for any version of SAIP.

5. Termination

This EULA is effective from the date you install or use SAIP and continues until terminated.

You may terminate this agreement at any time by uninstalling SAIP and destroying all copies in your possession.

DataForge may terminate this EULA immediately if you breach any of its terms. Upon termination:

All rights granted to you under this EULA cease immediately.
You must uninstall SAIP and destroy all copies, including backup copies.
Sections 3 (Intellectual Property), 6 (No Warranty), 7 (Limitation of Liability), and 8 (Governing Law) survive termination.

6. No Warranty

SAIP is provided "as is" without warranty of any kind. DataForge Systems expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

DataForge does not warrant that SAIP will be free of bugs, errors, viruses, or other defects, or that it will operate without interruption. DataForge does not warrant the accuracy or completeness of the knowledge base content.

You assume all risk associated with the installation and use of SAIP. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

7. Limitation of Liability

To the maximum extent permitted by law, DataForge Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever, including but not limited to damages for loss of profits, data, business interruption, or any other commercial damages or losses, arising out of or related to your use or inability to use SAIP.

DataForge's total cumulative liability under this EULA shall not exceed the amount you actually paid for your SAIP license.

These limitations apply even if DataForge has been advised of the possibility of such damages and regardless of the theory of liability (contract, tort, or otherwise).

8. Governing Law

This EULA is governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under this EULA shall be brought exclusively in the state or federal courts located in Alabama, and you consent to the personal jurisdiction of such courts.

9. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and DataForge Systems regarding SAIP and supersedes all prior agreements, understandings, and communications relating to the subject matter hereof.

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
